Hereinafter, the Seller and the Buyer shall be referred to individually as a "Party" and collectively as the "Parties".
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the online training, digital content, and/or online events ordered by the Buyer via the Seller’s website (https://pencilott.com/), for which payment has been completed.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. The Buyer acknowledges that in order to benefit from any online service provided by the Seller, the Buyer must complete the registration form available on the website and make full payment using the designated payment method.
3.2. In case the Buyer fails to make the payment, or if the payment is canceled or reversed by the Buyer’s bank/payment provider, the Seller shall not be obliged to provide the purchased service.
3.3. The Buyer agrees not to record, reproduce, or use the purchased online trainings or events beyond the permitted scope. Any unauthorized use shall entitle the Seller to claim compensation for damages.
3.4. The Seller is responsible for providing the Buyer with the necessary information and access details for participation in the purchased online service within a reasonable time after payment confirmation.
3.5. The Seller shall not be held responsible for disruptions caused by the Buyer’s own technical issues, connectivity problems, or failure to attend the purchased event, unless such disruptions are directly attributable to the Seller.
4. RIGHT OF WITHDRAWAL / CANCELLATION
4.1. Since the subject of this Agreement includes digital services delivered electronically (such as online training, courses, and events), the Buyer acknowledges that cancellation rights may be limited once the service has been accessed or delivered.
4.2. As a customer-friendly policy, the Buyer may cancel participation in an online training or event by notifying the Seller at least 3 (three) days before the scheduled start date. In this case, the Buyer will be entitled to a full refund without deductions.
4.3. Refund requests must be submitted via email to tr@pencilott.com. Refunds will be processed to the Buyer’s original payment method within 10 business days following approval.
5. PRICES AND PAYMENT
5.1. The total price of the purchased services is displayed on the website at the time of order and confirmed in the electronic invoice sent to the Buyer. Unless otherwise stated, all prices include applicable taxes.
5.2. The Buyer is required to complete the payment within the time period stated on the registration/payment page. In case of delay or failure, the order shall be deemed invalid and this Agreement shall be considered null and void.
6. FORCE MAJEURE
In case of unforeseeable circumstances beyond the Seller’s control (including but not limited to natural disasters, epidemics, government restrictions, strikes, cyber-attacks, or major technical failures) that prevent or delay the provision of services, the Seller may suspend or cancel the service without liability. If such circumstances last longer than 30 days, the Buyer may terminate the Agreement and request a refund of the amounts paid.
7. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the applicable consumer protection and contract laws of the country in which the Seller is established, unless otherwise agreed.
In case of disputes, the Parties agree to first attempt amicable settlement. If no resolution is reached, disputes shall be submitted to the competent courts of the Seller’s country of residence.
8. FINAL PROVISIONS
This Agreement is executed electronically by the Parties and has the same legal effect as a signed written contract.
